Hiring: Corporate Governance Officer

These are exciting times for the charity and we have an excellent opportunity for a proactive and highly organised professional with outstanding interpersonal and influencing skills to join our Legal and Governance Department. As Corporate Governance Officer, you will be responsible for providing comprehensive and high-quality company secretarial support to The Donkey Sanctuary subsidiary companies, in accordance with the Charity’s governance standards and best practice.
About you:
• Educated to a Degree level of education or equivalent.
• A thorough understanding of company secretary responsibilities and function.
• A thorough understanding of company law and director responsibilities.
• Significant experience in attending and minuting board meetings in a European company or charity.
• Fluent in written and spoken English language
• Fluent in either Spanish or Italian languages (ability to speak and write both languages is desirable).
• Exceptional computer skills, with a strong knowledge of MS Office, MS Outlook and Adobe.
• Excellent literacy and grammar skills
• Able to maintain a high level of accuracy and attention to detail whilst dealing with a number of conflicting demands and timescales.
About the role:
Your principal duties and responsibilities will include –
• Assisting the Corporate Governance Manager in the planning and coordination of meetings for the subsidiary companies, liaising with key stakeholders to provide an efficient and professional secretariat service.
• Working as a dedicated point of contact for subsidiary company Trustee/Directors and staff, providing consultation and governance planning advice for board reporting requirements.
• Facilitating appropriate meeting preparation and arrangements, agenda setting, drafting, circulation and publication of minutes of meetings and ensuring actions and decisions are recorded and followed up accordingly.
• Assisting the Corporate Governance Manager with the recruitment process for the appointment of new subsidiary company Directors/Board members, including induction and support with ongoing training and skills.
• Maintaining Subsidiary Company Director files for the Group, including conflict of interest statements, register of gifts and interests and other regulatory documentation.
• Assisting in country corporate governance compliance with relevant regulatory and statutory requirements including the filing or notices and returns to the charity and company regulators and other government bodies.
• Acting as a translator for communications and liaisons with key stakeholders in The United Kingdom, Spain and/or Italy e.g. subsidiary company staff, country managers, board members, legal representative, solicitors, external auditors.
What we offer in return:
Based in either The United Kingdom, Spain or Italy – this is a part-time, permanent contract starting as soon as possible, working 4 days per week. The working pattern for this role will combine home and occasional onsite working under our guiding principles for such roles, and will be agreed between the line manager and post-holder.
